What happened

  • Bajaj Finance told the exchanges its board, meeting on 1 October 2026, approved a capital raise through a qualified institutions placement (QIP) and a preferential issue.
  • The QIP is for up to ₹11,700 crore and the preferential issue of warrants is for up to ₹5,800 crore, according to Multibagg.
  • Bajaj Finserv, the promoter and holding company, told the exchanges it would subscribe to the warrants for an aggregate consideration not exceeding ₹5,800 crore.
  • Multibagg reports at least 25% of the warrant price is payable upfront, the rest on conversion, within 18 months. The raise needs shareholder approval at an extraordinary general meeting and regulatory clearances.

Why it matters

The two routes together would bring in new equity capital; the filings say the plan still needs shareholder and regulatory approvals.

Good to know: A QIP is a share sale to qualified institutional buyers such as mutual funds and insurers. A warrant is a right to convert into a share later at a fixed price, usually after part-payment upfront.
