What happened

  • Balkrishna Industries signed a framework with Pirelli under which it will make Pirelli-branded passenger car radial tyres at its Bhuj plant in Gujarat to Pirelli's specifications, Kotak Neo reported. Upstox said the first phase is an offtake agreement for 8,00,000 Pirelli-branded tyres by 2030.
  • The second phase is a proposed 50:50 joint venture, subject to agreed conditions, with plants dedicated to higher-value car tyres, Upstox reported from the exchange filing. Kotak Neo said it would have a four-member board, two directors from each side and a rotating chair, with incorporation targeted by 31 December 2030.
  • Neither outlet gave an investment amount for the joint venture.
  • The shares closed at ₹2,103.30 against ₹2,039.60 on Kite data, a rise of 3.12% by my calculation. Upstox reported an intraday high of ₹2,128 on the NSE and Kotak Neo a rise of 1.9% to ₹2,077.90 at 12:22 PM.

Why it matters

Good to know: A framework agreement sets out how two companies intend to work together but is not the final contract. Here the joint venture is conditional, and a definitive agreement is still to be signed.
