What happened
- TML CV Holdings B.V. raised its offer for Iveco Group from €14.10 to €14.40 a share on 9 October and described the new price as its best and final, with no further increases planned, according to Angel One and Il Sole 24 Ore.
- The reason given was that approvals in some jurisdictions are taking longer than expected. TML CV Holdings said it still regards the earlier price as a full and fair valuation.
- If every Iveco share is tendered, the most Tata Motors' subsidiary would pay rises to about €3.91 billion. Il Sole 24 Ore put the increase at €81.36 million.
- To fund the extra amount, TML CV Holdings has signed a €85 million credit facility with MUFG Bank, per Angel One.
- Shareholders who have already tendered shares receive the higher price without resubmitting forms. All other offer terms are unchanged.
Why it matters
All other terms of the offer are unchanged, according to Il Sole 24 Ore.
Good to know: A tender offer is an open invitation to shareholders to sell their shares at a stated price. 'Best and final' means the bidder has said it will not raise the price again.
