What happened
- On 28 September the board approved raising up to ₹6,000 crore in one or more tranches, in rupees or foreign currency, Business Standard reported.
- The instruments listed include equity shares, bonds, foreign currency convertible bonds, depository receipts, debentures, warrants and convertible debentures, through public issues, preferential offers, private placements or qualified institutions placements.
- Business Today reported that the board also approved higher borrowing limits under Section 180(1)(c) of the Companies Act, and that the plan needs a special resolution of shareholders.
- The company said the notice for an extraordinary general meeting on the proposal will go to the exchanges once it has been sent to shareholders.
Why it matters
An approval is a ceiling, not a decision to raise that amount. The board or its fund-raising committee will set the terms and types of securities later, Business Today reported.
Good to know: A special resolution needs at least 75% of the votes cast at a shareholder meeting.
