SEBI closes Adani public-shareholding case; says control by Vinod Adani not established

What happened

  • In an order dated 28 September, a SEBI whole-time member found insufficient evidence that Vinod Adani exercised effective control over the investment decisions of foreign portfolio investors that held shares in Adani group companies.
  • SEBI had alleged that these holdings, between June 2013 and June 2018, should have been counted as promoter holdings rather than public holdings, which would have breached the minimum public shareholding rules. The order said this was not established.
  • Adani Enterprises, Adani Power, Adani Ports and Special Economic Zone and Adani Energy Solutions (formerly Adani Transmission), along with 14 directors including Gautam Adani and Rajesh Adani, settled the proceedings for ₹1.48 crore without admitting or denying the allegations. The amount was paid on 26 August.
  • SEBI imposed penalties of ₹20 lakh each on two individuals for giving incomplete information, according to Business Standard.

Why it matters

The public shareholding question was one of the main regulatory matters that followed the Hindenburg Research report on the group in January 2023. Listed companies in India must keep at least 25% of their shares with the public.

Good to know: A settlement lets a company or person close SEBI proceedings by paying an agreed amount, without admitting or denying the charges.
