What happened

  • Asset Care & Reconstruction Enterprise (ACRE) has filed a petition under Section 7 of the Insolvency and Bankruptcy Code at the National Company Law Tribunal (NCLT), Mumbai, against Zee Learn and its wholly owned subsidiary, Digital Ventures Private Limited.
  • The petition alleges a default of about ₹821 crore. Zee Learn received notice of it by email from ACRE's lawyer on 26 September 2026 and told the exchanges on 27 September.
  • ACRE had invoked a corporate guarantee of ₹818.23 crore on 15 September 2026.
  • Zee Learn said it will take steps as advised by its lawyers, and that the disclosure does not affect its legal rights and remedies.

Why it matters

A Section 7 petition is filed by a lender. The tribunal first decides whether to admit it, and a formal insolvency process starts only if it does. In March 2026, a separate Section 7 petition by Axis Bank against Zee Learn was dismissed as withdrawn.

Good to know: An asset reconstruction company buys bad loans from banks at a discount and then tries to recover the money from the borrower.
